3. Terms of Service

3.1 Agreement to Terms

These Terms of Service govern access to and use of www.shopurbanyaard.com, UrbanYaard products, online storefront features, content, checkout, customer accounts, promotions, communications, and related services.

By visiting the website, creating an account, placing an order, submitting information, or using UrbanYaard services, the customer agrees to these Terms and all policies linked on the website.

If a customer does not agree, the customer should not use the website or place an order.

3.2 Company Identity

UrbanYaard is the trade name used by UrbanYaard LLC, a company registered in the State of New Mexico, United States. UrbanYaard operates fully online through www.shopurbanyaard.com and related official digital channels.

All legal notices should be directed to the contact information listed in the Legal Notice and Contact Information sections.

3.3 Eligibility

Customers must be at least eighteen (18) years old or the age of legal majority in their place of residence to place an order.

A customer who uses the website on behalf of a business or other entity represents that the customer has authority to bind that entity to these Terms.

3.4 Online Storefront and Website Platform

UrbanYaard operates through an online storefront and uses third party technology and service providers to host, display, process, support, and fulfill online transactions.

Customers may be subject to additional terms, privacy notices, or technical requirements from payment providers, shipping providers, device providers, browser providers, or other third party services that UrbanYaard does not control.

3.5 Products and Product Information

UrbanYaard may offer apparel, kids and baby items, accessories, merchandise, customized products, made to order products, promotional products, and other items from time to time.

Product descriptions, images, prices, sizes, colors, materials, availability, shipping estimates, and related information are provided for general purchasing guidance. UrbanYaard attempts to keep information accurate but does not guarantee that every description, image, price, inventory status, or detail is complete, current, or error free at all times.

Product images may include mockups, models, lifestyle scenes, or digital representations. Final products may vary within reasonable manufacturing, printing, sizing, color, fabric, production, and display tolerances.

3.6 Pricing Errors, Zero Dollar Displays, and Out of Stock Items

A product display showing $0.00, zero, blank, unavailable, sold out, out of stock, price pending, or any obviously incorrect amount is not an offer to sell the product at that price unless UrbanYaard expressly confirms in writing that the product is being sold at that price.

Out of stock items, disabled checkout items, placeholder listings, test products, hidden products, unpublished products, draft products, and product feed errors do not create a binding purchase obligation for UrbanYaard.

If an item is mistakenly listed at $0.00 or another incorrect price, UrbanYaard may refuse, cancel, void, reverse, or correct the order, even if the customer received an order confirmation or payment authorization, unless applicable law requires otherwise.

UrbanYaard is not required to honor a zero dollar price, obvious error, typographical error, inventory error, platform display error, third party feed error, coupon error, currency conversion error, or system malfunction.

If UrbanYaard cancels an order because of a pricing, inventory, zero value, or product display error, UrbanYaard will refund any amount actually paid by the customer for the cancelled item, subject to payment processor timing and applicable law.

A customer is not entitled to future availability, future pricing, prior error pricing, promotional pricing after expiration, or a product at a price displayed because of error.

3.7 Orders and Acceptance

Placing an order is an offer by the customer to purchase the selected products. UrbanYaard accepts the order only when UrbanYaard confirms acceptance, processes payment, begins fulfillment, or ships the order, depending on the circumstances and applicable law.

An automated order confirmation confirms receipt of the order request. It does not guarantee acceptance, availability, price accuracy, fulfillment, or shipment.

UrbanYaard may refuse or cancel any order before fulfillment for any lawful reason, including suspected fraud, payment failure, inventory error, pricing error, product display error, shipping limitation, legal restriction, address issue, high risk order status, policy violation, or operational issue.

3.8 Payment

Customers must provide accurate and authorized payment information. By submitting payment information, the customer represents that the customer is authorized to use the payment method and that the payment information is accurate.

Payments may be processed by third party payment processors. UrbanYaard does not control approval, decline, reversal, fraud review, or processing time decisions made by payment processors, banks, card networks, digital wallet providers, or financial institutions.

If payment is declined, reversed, disputed, charged back, or not received, UrbanYaard may cancel the order, suspend fulfillment, restrict account activity, seek payment, or pursue remedies permitted by law.

3.9 Taxes, Duties, and Import Charges

Customers are responsible for applicable taxes, duties, customs charges, import fees, brokerage fees, and similar governmental charges unless such amounts are collected at checkout or UrbanYaard expressly states otherwise.

International orders may be subject to customs inspection and local charges. UrbanYaard is not responsible for delays, seizure, refusal, or additional charges imposed by customs authorities or local laws, except where required by law.

3.10 Accounts

Customers may be able to create an account. Customers are responsible for maintaining the confidentiality of login credentials and for activity under their accounts.

UrbanYaard may suspend or terminate account access for suspected fraud, misuse, security risk, policy violation, unlawful activity, chargeback abuse, or conduct that may harm UrbanYaard, customers, service providers, or others.

3.11 Promotions, Discounts, and Gift Cards

Promotions, discounts, coupon codes, referral offers, and limited time offers are subject to the terms stated with the offer. UrbanYaard may modify, suspend, or end promotions where permitted by law.

Promotions cannot be applied retroactively, redeemed for cash, transferred, sold, duplicated, combined, or used in a manner inconsistent with the offer terms unless UrbanYaard allows it in writing.

UrbanYaard may cancel or reverse discounts caused by error, misuse, technical issue, unauthorized code sharing, or policy violation.

3.12 Customer Content

Customers may submit reviews, comments, photos, videos, messages, instructions, feedback, or other content. Customers represent that they have the rights needed to submit that content and that it does not violate law or third party rights.

By submitting content, customers grant UrbanYaard a nonexclusive, worldwide, royalty free, transferable, sublicensable license to use, reproduce, display, publish, modify, distribute, and create derivative works from the content for business, marketing, customer support, website operation, product improvement, fraud prevention, and legal purposes, subject to applicable law.

UrbanYaard may remove, refuse, or edit customer content that is unlawful, misleading, offensive, infringing, abusive, fraudulent, or inconsistent with brand standards or website policies.

3.13 Acceptable Use

Customers may not use the website for unlawful, fraudulent, abusive, harmful, automated, scraping, data harvesting, hacking, spam, impersonation, interference, resale, unauthorized commercial, or policy violating purposes.

Customers may not attempt to bypass checkout controls, exploit pricing errors, use unauthorized coupons, interfere with inventory controls, submit false claims, file fraudulent disputes, or use bots or automated tools without written permission.

3.14 Intellectual Property

UrbanYaard owns or licenses the website, brand names, logos, graphics, images, product descriptions, layout, copy, designs, content, and other materials displayed through the website, except content owned by customers or third parties.

Customers may not copy, reproduce, modify, distribute, sell, scrape, reverse engineer, exploit, or create derivative works from UrbanYaard materials without written permission.

3.15 Third Party Links and Services

The website may link to or use third party services. UrbanYaard is not responsible for third party websites, terms, privacy practices, content, security, service failures, policies, or actions unless required by law.

3.16 Disclaimers

The website and services are provided on an as is and as available basis to the maximum extent permitted by law.

UrbanYaard does not guarantee that the website will be uninterrupted, error free, secure, available at all times, free of defects, or free of harmful components.

UrbanYaard does not warrant that product information, inventory, prices, discounts, currency conversions, or availability will be accurate at all times.

3.17 Limitation of Liability

To the maximum extent permitted by law, UrbanYaard, its owners, officers, employees, contractors, service providers, affiliates, and agents will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or similar damages, including lost profits, lost revenue, loss of data, loss of goodwill, business interruption, or loss of expected savings.

To the maximum extent permitted by law, UrbanYaard’s total liability for any claim related to an order or use of the website will not exceed the amount actually paid by the customer to UrbanYaard for the specific order giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited.

3.18 Indemnification

Customers agree to defend, indemnify, and hold harmless UrbanYaard, its owners, officers, employees, contractors, service providers, affiliates, and agents from claims, damages, liabilities, costs, and expenses arising from customer misuse of the website, violation of these Terms, violation of law, customer content, payment disputes, chargebacks, fraud, or violation of third party rights.

3.19 Force Majeure

UrbanYaard is not responsible for delay or failure caused by events outside its reasonable control, including internet outages, platform outages, payment processor issues, supplier issues, production delays, carrier delays, customs delays, weather, natural disasters, labor issues, government actions, war, civil unrest, public health events, cyber incidents, or service provider failures.

3.20 Governing Law and Venue

These Terms are governed by the laws of the State of New Mexico and applicable federal law, without regard to conflict of law rules.

Unless prohibited by law, disputes related to UrbanYaard, the website, policies, or orders must be brought in a state or federal court located in New Mexico. Customers consent to the personal jurisdiction of those courts for such disputes.

3.21 Changes to Terms

UrbanYaard may update these Terms from time to time. Updated Terms will be posted on the website with a revised effective date. Continued use of the website after updates become effective means the customer accepts the updated Terms.
